The terms of this Notice of Consent to Agency Network Data Sharing (“Notice”) pertain to any agency that obtains authorized access to Aureus Cloud Services, including without limitation DONNA, pursuant to the agency’s membership in an agency network. Such network member agency access to Aureus Cloud Services is provided pursuant to a limited license granted through a Master Network Customer Agreement (“Network Agreement”) between Aureus Tech Inc. (“Aureus”) and the applicable Agency Network Customer (the “Network”).
You are a Customer Member Subscriber under a Network Agreement
The Network Agreement refers to a Network member agency as a “Customer Member Subscriber” (referred to in this Notice as “you” or “your”). Your access and use of Aureus Cloud Services is governed by the Network Agreement. The terms of this Notice are in addition to, and form part of, the Network Agreement and the DONNA Authorized User Terms of Use. Moreover, pursuant to the Network Agreement, Aureus is a third party beneficiary to any separate agreement that you may have with the Network, concerning your access to Aureus Cloud Services.
You consent to data sharing while using Aureus Cloud Services under the Network Agreement
As a Customer Member Subscriber under the Network Agreement, any data that you input, upload, or otherwise submit to Aureus in connection with your use of the Aureus Cloud Services is considered “Customer Data” under the Network Agreement, to which the Network and Aureus each have access and use. Your signing up for access to the Aureus Cloud Services through your Network membership constitutes your consent to sharing your Customer Data with the Network for purposes that are consistent with the Network’s rights and obligations under the Network Agreement and with Aureus for purposes of Aureus’s provision of services under the Network Agreement. You may revoke your consent to sharing your Customer Data with the Network, but only as set forth in this Notice.
Your obligations to Aureus when you leave the Network
If your relationship with the Network terminates at any time, or if your Network subscription to Aureus Cloud Services terminates at any time, in either case, whether voluntarily or otherwise, then immediately and simultaneously (1) your license to access and use Aureus Cloud Services terminates and (2) you are obligated to notify Aureus of such termination by contacting Aureus at donna.support@aureusanalytics.com. If you fail to timely notify Aureus of such termination and continue to access Aureus Cloud Services, you are deemed to have entered into a paid subscription pursuant to, and your continued access is governed by, Aureus’s standard DONNA Customer Agreement https://www.aureusanalytics.com/donna/donna-terms-of-service including without limitation its payment terms and conditions.
Your option to subscribe directly with Aureus
You may elect to enter into a direct license and subscription for Aureus Cloud Services at any time by contacting Aureus at donna.support@aureusanalytics.com
The effect of termination on data sharing
Only upon either (A) timely notification to Aureus of termination or (B) entering into a direct subscription for Aureus Cloud Services, each as described above, will your consent to sharing your Customer Data with the Network be considered revoked.
